Frequently asked questions

Is a company secretary mandatory in Malaysia?

Yes. Under Section 235 of the Companies Act 2016, every Malaysian company must appoint at least one company secretary who is a natural person, at least 18 years old, a Malaysian citizen or permanent resident, and a member of a prescribed professional body (MIA, MAICSA, etc.) or licensed by SSM. The appointment must be made within 30 days of incorporation.

What does a company secretary actually do?

A company secretary ensures your company complies with the Companies Act 2016 and SSM requirements. Day-to-day, this means filing the annual return, maintaining statutory registers (members, directors, charges), preparing board and shareholder resolutions, coordinating the AGM, and processing changes of particulars (new directors, address changes, share transfers). What happens if I miss the annual return deadline?

SSM imposes a late lodgement penalty that increases the longer you delay. For a Sdn Bhd, the annual return is due within 30 days of the anniversary of incorporation.
